API Terms

1. Introduction

This API License Terms of Use (the “ Agreement “) governs the use of or access to Lusha’s API by Customer and by Customer’s authorized Users. By accessing or using the API Service, you acknowledge and consent to be bound by the terms of this Agreement and the applicable Insertion Order. If you do not agree to any of the terms, you may not access or use the API Service.

2. What is Lusha?

Lusha helps Customers find business profiles (“ Business Profiles “) collected in Lusha database (“ Lusha Database “). Lusha allows access through the API to these Business Profiles for enriching Customer’s current data. Lusha operates as a search platform, retrieving information not directly created by Lusha but from the web or contributions of relevant data.

3. Definitions

  1. Access Keys: Confidential security keys provided by the Company.
  2. API: The software program(s) and documentation provided for use under this Agreement.
  3. API Call: A single User’s request to receive information related to a Business Profile using the API Service.
  4. Confidential Information: Any non-public, proprietary, or confidential information of the Company.
  5. Insertion Order: A document setting forth custom pricing and terms for the API Service.
  6. Personal Data: Individually identifiable information relating to a natural person.
  7. Proprietary Rights: Intellectual property rights, including algorithms, brands, business methods, etc.
  8. Software: Applications developed to interact with the API.
  9. User: An individual authorized by Customer to use the API Service.

4. Eligibility

To be eligible to use the API Service, you must be at least 18 years old, have full authority to enter into this Agreement, and will not violate any rights of the Company or any third party.

5. Grant of License

Subject to compliance with this Agreement, a limited, non-exclusive, revocable license is granted to:

  1. Internally use the API Access Keys to conduct API Calls.
  2. Use the API as necessary to develop, maintain, and support the Software.
  3. Process Business Profiles obtained through the API.

6. Intellectual Property

The Company retains all rights in the API Keys, API, and Lusha Database. Neither party shall assert Proprietary Rights in the other party’s content or materials.

7. Privacy and Content

You acknowledge our Privacy Policy. You are responsible for ensuring that any Content you provide does not violate applicable laws or third-party rights.

8. Confidentiality

You agree not to disclose Confidential Information of the Company without prior written consent. The Company can use Public Information as needed.

9. Representations and Warranties

You acknowledge that the API and its structure are valuable trade secrets of the Company and agree not to disclose or transfer any Data from the API Service.

10. Fees and Payments

You will pay all fees related to subscriptions for Users accessing the API Service according to the applicable Insertion Order. All fees are nonrefundable.

11. Term and Termination

This Agreement shall remain effective until terminated as per the terms. Upon termination, all licensed rights shall cease.

12. Indemnification

You agree to indemnify the Company against claims arising from your use of the API Service or any breach of this Agreement.

13. Limitation of Liability

The API Service is provided “AS IS” and the Company is not liable for any damages arising from its use.

14. Third-Party Services

The Company is not responsible for content on third-party sites accessed through the API Service.

15. Governing Law and Arbitration Agreement

This Agreement is governed by the laws of Israel. Disputes will be settled through arbitration in Tel Aviv.

16. Notice and Takedown

If you believe someone is violating this Agreement, report it to the Company via email.

17. Assign Rights, Severability, and Waiver

The Company may assign its rights under this Agreement. Any unenforceable part of this Agreement will not affect the remaining provisions.

18. Entire Agreement

This Agreement constitutes the entire agreement between the parties.

19. Amendments to the Agreement

The Company can amend this Agreement at its discretion.
